General Terms and Conditions (GTC)
for Deliveries and Services
of Global Assistance & Medical Transport Institute GmbH
- Scope and Definitions
These General Terms and Conditions (GTC) apply to the entire business relationship between Global Assistance & Medical Transport Institute GmbH (hereinafter referred to as “GAMTI”) and its customer, even if they are not separately agreed upon for each individual contract.
Customers of GAMTI are exclusively entrepreneurs. GAMTI does not offer deliveries and services for consumers in terms of the Austrian Konsumentenschutzgesetz (KSchG).
Any deviating, conflicting, or supplementary GTC of the customer shall only become part of the contract if and insofar as GAMTI expressly agrees to their validity in writing.
- Conclusion of Contract, Deliveries and Services by GAMTI, Place of Fulfilment
The presentation of courses on GAMTI’s website does not constitute a legally binding offer, but an invitation to place an order.
By placing an order using a form on GAMTI’s website (www.gamti.org) or via email to hello@gamti.org, the customer makes a binding offer to conclude a contract.
The contract is concluded when GAMTI accepts the offer, which is confirmed with an order confirmation by email.
GAMTI reserves the right to reject an offer without giving reasons.
GAMTI provides the customer with access to the booked courses. Unless otherwise advertised, GAMTI exclusively provides the courses online.
The specific scope of contractual services is set out in the service description on GAMTI’s website (www.gamti.org) at the time of ordering.
The place of fulfilment for all deliveries and services by GAMTI is the registered office of GAMTI in A-1030 Vienna.
- Prices and Terms of Payment
All prices quoted are exclusive of statutory value added tax.
The invoice is sent together with the order confirmation.
Payment is due within ten days from the date of the invoice, unless otherwise agreed in writing.
- Delivery and Validity of Login Details
Access to the course contents through the delivery of login details will be provided within one week of full payment of the invoice.
The login details remain valid for three months from the date on which GAMTI sends them to the customer.
- Copyright, Trademark and Right of Use
GAMTI is entitled to the sole copyright and right of use regarding all course contents (texts and photos).
The trademark “GAMTI” is protected by copyright and trademark law.
Upon full payment of the agreed remuneration, the customer receives personalised login details for the specified number of persons booked and a limited, non-transferable right to access the acquired course contents as agreed.
It is prohibited to pass on the login details or the course contents to third parties.
In the event of a breach of copyright, trademark, or usage rights, GAMTI reserves the right to assert all possible claims (in particular indemnity).
- Certification
Upon successful completion of a course, the customer receives a GAMTI certification for the person who completed the course, which is valid for two years from the date of issue.
An extension of this certification is possible. To extend the certification before its expiration, a “Refresh Course” must be successfully completed.
The customer not only can obtain certification for him or herself or for individual employees but can also obtain GAMTI certification for the entire company or a specialised department, provided all active employees of the company or department hold a valid GAMTI certification.
In the event of changes among the customer’s employees (e.g., due to new hires), the customer is obliged to inform GAMTI of this within one month. The certification for the entire company or a specialised department affected by the change will expire if a new employee does not obtain GAMTI certification within six months from their hiring date.
- Use of the “GAMTI-Certified Logo”
Once the certification requirements, which GAMTI will announce separately on its website, are fulfilled, the customer gains the right to use the GAMTI-Certified Logo on their website, email signatures, and social media channels for the duration of the valid certification, in accordance with these GTC provisions. GAMTI reserves the right to revoke this right at any time.
- Warranty, Complaints and Liability, Prohibition of Offsetting
GAMTI guarantees that the courses offered are created and maintained according to the current state of the art.
Complaints must be reported to GAMTI in writing immediately after receipt of the delivery or service; otherwise, the delivery or service shall be deemed approved, and any warranty claims or compensation claims shall lapse.
There are no refunds, especially if a course is not completed within the specified time frame.
GAMTI is not liable for technical disruptions that are beyond GAMTI’s control.
GAMTI reserves the right (in particular to ensure the high-quality standards of GAMTI) to make ongoing changes to course contents and to perform maintenance on the website, which may result in temporary interruptions in the availability of course contents.
GAMTI’s liability (except for personal injury) is limited to cases of gross negligence and wilful intent. Liability for loss of profit or consequential damages is excluded. This also applies in the event of default or impossibility of performance.
The right to set-off from a customer’s claim against GAMTI’s claim is only permitted if GAMTI agrees to the set-off in writing or if the customer’s claim has been legally determined by a court.
- No Right to Withdraw from the Contract
The customer is an entrepreneur and is therefore not entitled to withdraw from the contract with GAMTI.
- Applicable Law, Place of Jurisdiction
The contractual relationship between GAMTI and its customer is exclusively governed by Austrian Substantive Law (excluding the CISG [UN Convention on Contracts for the International Sale of Goods] and the referral rules of Private International Law).
All disputes or claims arising out of or in connection with the contractual relationship between GAMTI and its customer, including disputes regarding its validity, breach, termination, or nullity, are subject to the jurisdiction of the Competent Courts for 1030 Vienna, Austria.
- Other Provisions
Apart from these GTC, there are no verbal side agreements between GAMTI and the customer.
If individual provisions of these GTC are or become wholly or partially invalid, the validity of the remaining provisions are not affected thereby. In such a case, GAMTI and its customer are committed to agree on a provision that is economically and legally equivalent to the invalid provision to the extent possible.
